Plain-language summary: you use Compare Files to compare your own files privately, right in your browser. Some tools are free; others need a subscription. The tool is provided as-is — you're responsible for how you use it and for checking the results before you rely on them. Because your files never reach us, we can't see, recover, or be responsible for them.
These Terms of Service ("Terms") are a legal agreement between you and Orbit Phase ("Orbit Phase," "we," "us," or "our"), the operator of the Compare Files website and tools (the "Service"), governing your use of the Service. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Compare Files is a browser-based tool that lets you compare text, images, spreadsheets, documents, and structured data. All file processing happens locally in your browser using JavaScript. Your files are never transmitted to any server, stored anywhere, or seen by anyone other than you.
Free. Plain-text and JSON/YAML comparison are free and require no account.
Subscription plans. Paid features are offered as subscriptions (Pro and Business), billed in advance on a recurring basis — monthly or, where offered, annually — at the price shown at checkout. Your subscription renews automatically at the end of each billing period and your payment method is charged for the next period until you cancel. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period, after which access to paid features ends. We may change prices, and will give notice before a change applies to your next renewal.
Legacy one-time purchases. If you bought a one-time (lifetime) license before we moved to subscriptions, that access is honored and continues under the terms in effect at the time of your purchase. One-time licenses are no longer sold.
Payments are processed by Stripe. We do not store or handle your payment card information.
Subscriptions: subscription fees, including for partial or unused billing periods, are non-refundable. You may cancel at any time to stop future charges. We may, at our sole discretion, choose to issue a refund, but are under no obligation to do so except where a refund is required by applicable law.
Legacy one-time purchases: if you hold a legacy one-time license and are unsatisfied within 14 days of that purchase, email [email protected] for a full refund.
You are solely responsible for the files you process and for how you use the Service. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You represent that you have all rights necessary to process any file you compare, and that doing so does not violate any confidentiality, privacy, data-protection, intellectual-property, or contractual obligation you are bound by. You may not use the Service for any unlawful, infringing, harmful, or fraudulent purpose, or in any way that violates the rights of others.
Compare Files is an automated tool. While comparisons are performed by deterministic algorithms designed for accuracy, we do not warrant that results are complete, accurate, or error-free, and outcomes may vary with file format, structure, and content. You are responsible for independently reviewing and verifying any comparison result before relying on it. The Service does not provide legal, financial, accounting, tax, medical, or other professional advice and is not a substitute for professional judgment. Any decision or action you take based on the Service's output is made at your own risk.
The Service, including its software, design, and content, is owned by Orbit Phase and protected by intellectual-property laws. Subject to your plan, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal or internal business purposes. You may not resell, sublicense, redistribute, reverse-engineer, or create derivative works of the Service itself, or use it to build a competing product.
Because all file processing is performed in your browser, we have no technical ability to access, view, copy, transmit, or recover your files. This is not a policy choice — it is an architectural fact. There is no server receiving your file data. It also means we cannot restore files you lose, and you are responsible for keeping your own copies.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty regarding the accuracy, reliability, completeness, or availability of the Service or its results. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of harmful components.
To the maximum extent permitted by law, in no event will Orbit Phase, its owners, or its operators be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, business, or goodwill, arising out of or relating to your use of — or inability to use — the Service, even if advised of the possibility of such damages. Because all processing happens in your browser and no copy of your files ever reaches us, we accept no responsibility for any data loss. Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amount you paid us in the 12 months before the event giving rise to the claim, or (b) EUR €50. Some jurisdictions do not allow certain of these limitations, so parts of this section may not apply to you.
You agree to indemnify, defend, and hold harmless Orbit Phase and its owners and operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use or misuse of the Service, (b) the files you process, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party.
We may suspend or terminate your access to paid features if you breach these Terms or use the Service unlawfully. You may stop using the Service at any time. Sections that by their nature should survive termination — including Sections 4 through 10 — will continue to apply.
The Service is a static web application hosted on Cloudflare. We do not guarantee uninterrupted access but will make reasonable efforts to maintain availability. Because the core functionality runs in your browser, the only dependency is that the page loads.
We may update these Terms. Material changes will be communicated via the app, and we will update the effective date above. Your continued use of the Service after changes take effect constitutes acceptance.
